Partner Program Terms

This is the whole agreement. It is written to be read, so please read it before you apply.

1. What this is

The Yuvia Partner Program lets you earn a commission on new customers who reach Yuvia through your tracking link. This page is the agreement between you and Yuvia Holdings LLC. Read it before you apply. By completing the application you accept it.

Your role is to promote Yuvia to your own audience with your own content. You are not our employee, our agent, or a healthcare provider acting on our behalf, and nothing here makes you one.

2. Approval and eligibility

We approve or reject applications at our discretion and we do not have to explain a rejection, though we will tell you the reason if there is one worth giving. There is no legal recourse against us for a rejection.

To take part you must be at least 18, a resident of the United States and a US person for tax purposes (able to complete a W-9), and able to accept payment from a US company. You may not take part if you are a licensed healthcare provider, prescriber or pharmacist. That is a legal line, not a judgement about you, and we may open a separate track for professionals later.

3. Your link and how you get credit

You get a unique tracking link. When someone clicks it, we set a first-party cookie in their browser that lasts 90 days.

If that person becomes a qualified lead within those 90 days, the commission is yours. Last click wins, so if they click your link and then click another partner's link before signing up, the commission goes to whoever they clicked last.

Do not modify, mask, cloak or shorten your link in a way that breaks the tracking. If you do, we cannot credit you and we will not reconstruct the attribution by hand.

4. What you are paid

Commission is a fixed dollar amount for each qualified lead, and the amount depends on which plan the customer starts. The current rate schedule is published on our partner page and shown in your dashboard, and it forms part of this agreement. We can change it with notice. A change applies to leads that qualify after the date we give you, and never to a commission you have already earned.

A qualified lead means a new person, referred by your link, who completes the sign-up without being screened out and stores a valid payment card with us. A valid card means one that passes both the security code check and the billing postal code check, is not already on file with us, and is not flagged as high risk by our payment processor. The provider's decision is deliberately not part of this. If a specialist later declines the person, your commission stands and you are paid the same as if they had been approved. A click is not a lead, a half-finished sign-up is not a lead, and an existing Yuvia customer is never a new one.

Cash pay only. No commission is earned on any order or prescription billed in whole or in part to insurance, Medicare, Medicaid, or any other federal or state healthcare program. Yuvia is cash pay and does not bill any of them, so this should never arise. It is written down because compensation for anything a federal healthcare program pays for is a different question in law, and this agreement keeps clear of it.

There is no cap on what you can earn and no minimum before you get paid.

5. When we pay

We pay on the 1st and the 15th of each month.

Every commission is held for 30 days after the qualifying payment before it becomes payable. That window exists so that refunds and chargebacks resolve before money moves, and it is why a commission you earn today appears in your dashboard today but pays out later.

You are responsible for keeping your payment details current. If a payment fails because your details are wrong, we will tell you, and it goes out on the next run once you have fixed it.

If a payment is going to be late for a reason on our side, we will email you before the date, not after.

6. Holds and reversals

A commission can be held or reversed if the underlying order is refunded, charged back, cancelled, or the first charge fails and is never collected; if the lead turns out not to be a new customer; if the activity behind it looks fraudulent or breaks this agreement; or if a tracking error credited it to the wrong person.

When we reverse a commission, your dashboard will show it as reversed and give the reason. We will not take money back without telling you why.

If we have already paid a commission that is later reversed, we may deduct it from your next payment. We will not ask you to send money back.

7. Disclosure

Every piece of content you post that promotes Yuvia must clearly disclose that it is a paid partnership. This is a Federal Trade Commission requirement and it is the single fastest way to lose your place in this program.

In practice, and following the FTC's own guidance: put the disclosure where people will actually see it, at the front of a caption rather than buried at the end or mixed in with other hashtags. On Instagram, if the endorsement is in the first line of the description, the disclosure has to be visible without clicking "more". In video, say it as well as showing it, because plenty of people watch on mute and plenty of others miss on-screen text.

#YuviaPartner and #ad are both acceptable.

8. What you may say about Yuvia

You may say anything Yuvia itself publishes. The docs page in your dashboard lists what is safe, and it is the only source you should rely on.

You may not make claims about treating, curing, preventing or diagnosing any disease. You may not promise a specific result, a timeframe, or an amount of weight, energy or improvement. You may not present a prescription product as a supplement, call our compounded medications FDA approved, or imply that approval is automatic.

You may describe your own genuine experience, as long as you actually had it and you do not present it as a typical result.

9. How you may not promote

You may not bid on "Yuvia" or any variation of it in paid search, and you may not use our name in a display URL or a domain you control.

You may not send unsolicited commercial email or text messages to promote Yuvia. Any email you send must comply with the CAN-SPAM Act: truthful, non-deceptive subject lines and header information, no false or misleading sender identity or spoofed originating address, clear identification as an advertisement, a valid physical postal address, and a working opt-out that you honour promptly. Any phone call or text message must comply with the Telephone Consumer Protection Act (TCPA): no calls or SMS without the recipient's prior express consent, no autodialled or pre-recorded messages, and full respect for the National Do Not Call Registry and any opt-out request. You may not buy, rent, scrape, or otherwise use purchased or harvested contact lists.

You may not use automated posting, bots, or any automated tool to distribute your link or generate clicks, and you may not post where promotion is unwelcome or against a platform's rules.

You may not use pop-ups, pop-unders, hidden iframes, forced clicks, or anything else that sets a tracking cookie without a person deliberately clicking your link.

You may not promote Yuvia on sites that carry illegal content, adult content, or content that disparages any group.

You may not impersonate Yuvia, create a page that could be mistaken for ours, or represent yourself as speaking for the company.

10. Not for personal use

Your link is for your audience. Do not use it for your own orders or for people in your household. Doing so is grounds for termination and forfeiture of the commission.

11. Where commission is payable

Commission is payable on qualified leads from every state where Yuvia operates. A person in a state Yuvia does not serve cannot become a qualified lead at all — they are blocked before they can complete sign-up or store a card — so no commission ever arises from those states, and nothing here changes that.

Separately, some state laws regulate paying compensation for customer referrals. If a state's law ever makes paying a partner commission on referrals from that state a legal problem, we may stop paying commissions on new leads from that state. We will email you before that takes effect, it will apply only to leads that qualify after that date, and it will never touch a commission you have already earned. There are no such states today.

12. Content review

We do not review or approve your posts before you publish them. You know your audience and we are not going to slow you down.

We do monitor content that promotes Yuvia. If something breaks a rule above, we will contact you and ask you to fix it. Most of the time that is the end of it. Repeated or deliberate breaches, and anything that creates real regulatory exposure, can end the arrangement.

You remain responsible for everything you publish, whether or not we saw it.

13. Your content, and our right to use it

You keep ownership of everything you make.

By posting content that promotes Yuvia, you grant us a perpetual, worldwide, royalty-free licence to use, reproduce, edit and display it in our own marketing, including paid advertising, on any channel. This licence survives the end of this agreement.

If you want a piece of content taken out of active use, ask, and we will stop using it going forward. That does not undo material already printed or already running.

14. Our trademarks

You may use the Yuvia name and logo to promote us while you are an active partner, in the form we supply. You may not alter them, register them, use them in a domain or handle, or use them after this agreement ends.

15. Independent contractor and taxes

You are an independent contractor. This agreement does not create employment, partnership, agency or a joint venture.

You are responsible for your own taxes. If you earn enough in a calendar year to require it, we will issue a 1099 and you will need to have given us a completed W-9 first. We cannot pay you without one.

16. Termination

You can leave at any time, for any reason, by telling us.

We can end your participation at any time. We will tell you by email, and that email will name the reason. If you disagree with it, reply and a person will read it.

The reasons that most often end a partnership are: failing to disclose, making prohibited claims, paid search on our brand terms, self-referral, fraudulent or suspicious activity, and promoting Yuvia somewhere we have said you may not.

If you break these terms, we may withhold, cancel, and reclaim any commission connected to the breach. In cases of fraud, self-referral, or serious or repeated violations, we may cancel and reclaim all of your commissions, paid and unpaid, and you forfeit any right to them.

We may also suspend an account while we look into something. A suspension is not a termination and we will tell you which one it is.

17. After termination

Stop using your link, our name and our logo, and take down or update content that presents you as a current partner.

You are paid everything you have properly earned. Your final payment goes out 90 days after your last qualified lead, which allows the normal hold and any refunds to resolve. We do not keep money you have earned because the arrangement ended.

18. Liability

We are not liable for indirect or consequential losses, including lost commissions or lost revenue, arising from tracking failures, downtime, data loss, or interference with the program by anyone else.

We do not warrant that the program or our sites will be uninterrupted or error-free.

To the extent the law allows, our total liability to you under this agreement is limited to the commissions payable to you in the three months before the claim arose.

19. Indemnification

You will defend, indemnify and hold harmless Yuvia Holdings LLC, its affiliated professional entities, and their officers, directors, employees and agents, from and against any claims, damages, fines, penalties, losses and reasonable legal costs, including attorneys' fees, arising out of your content, your promotion of Yuvia, any claim you make about Yuvia or its products, your failure to disclose a paid relationship, your violation of any law or of anyone else's rights, your breach of this agreement, or your negligence or misconduct.

This obligation survives the end of this agreement. We may take over the defence and settlement of any claim we are entitled to be indemnified for, at your expense, and you will cooperate with us in that defence.

20. Changes to these terms

We may change these terms. If we do, we will post the updated version here with a new date and tell you by email before the change takes effect.

If a change is unacceptable to you, your remedy is to leave the program. Continuing to promote Yuvia after a change takes effect means you accept it.

21. Governing law

This agreement is governed by the laws of the State of Florida and of the United States, without regard to conflict of laws principles. Any dispute will be brought in the state or federal courts located in Florida, and both sides consent to that jurisdiction.

In any action to enforce this agreement, the prevailing party is entitled to recover its reasonable costs and legal fees.

22. Arbitration and class action waiver

Please read this section carefully. It affects how disputes between you and Yuvia are resolved and it limits your rights.

Except for the carve-outs below, any dispute, claim or controversy arising out of or relating to this agreement or the Partner Program will be resolved by final and binding individual arbitration, administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. The arbitration will take place in Florida or, if you prefer, by remote hearing, and judgment on the award may be entered in any court with jurisdiction.

You and Yuvia each give up the right to a jury trial and the right to bring or take part in a class, collective, consolidated or representative action. Disputes may be brought only in your or our individual capacity. The arbitrator may not combine more than one person's claims or preside over any form of class proceeding.

As a carve-out, either side may bring a qualifying claim in small-claims court, and either side may go to court for an injunction or other equitable relief to protect its intellectual property or confidential information. Nothing here limits our right to apply the termination, hold, reversal and clawback remedies set out above.

This section does not change the governing law above. Florida law and applicable federal law, including the Federal Arbitration Act, still govern. If the class action waiver in this section is found unenforceable as to a particular claim, that claim alone will proceed in court and the rest of this section still applies.

23. No guarantee of earnings

We do not promise or guarantee any level of income, any number of qualified leads, or any particular result. The commission examples and rate schedules we publish show how the program pays; they are not a prediction of what you will earn.

What you earn depends entirely on your own effort, your audience, and factors outside our control, and many partners earn little or nothing. Nothing in this agreement, on our partner pages, or in any conversation with us is a representation that you will earn a specific amount.

24. Severability

If any part of this agreement is found to be invalid, unlawful or unenforceable, that part is limited or severed to the minimum extent necessary and the rest of the agreement stays in full force and effect.

25. Entire agreement

This agreement, together with the rate schedule and any guidelines we publish for the program, is the entire agreement between you and Yuvia about the Partner Program, and it replaces any earlier understanding, promise or representation on the subject.

You are not relying on any statement or representation that is not written in this agreement. If we choose not to enforce a provision on one occasion, that is not a waiver of our right to enforce it later.

26. Electronic signature

This is an electronic contract. Completing the application indicates your acceptance of everything in it, and creates an electronic signature with the same legal force as a handwritten one.

Yuvia Holdings LLC. Prescription products are prescribed and dispensed through Yuvia's affiliated professional entities and pharmacies. Nothing in this agreement authorises any partner to practise medicine, give medical advice, or speak for a prescriber.
